This License Agreement covers individual non-commercial use of the Software from SRI International. Requests for site licenses or commercial use terms should be directed to fm-licensing@csl.sri.com.
Although not part of the License Agreement, we appreciate it if you inform us of any bugs that you discover, and notify us of interesting applications you have made of our technologies and of any papers or reports describing their use.
"Licensed IP" means all patent claims, trade secrets and copyrights freely licensable by SRI that are embodied in or necessarily practiced by the use of the Software or Documentation.
"Non-Commercial Purposes" means use of the Software and Documentation solely for non-commercial research purposes in exchange for which no financially valuable consideration (including, without limitation, sales or license revenue, service revenue, and advertising revenue, and whether in the form of monetary, equity, or other forms of consideration) is received, except for research funding received from an official government agency sponsor, a non-profit foundation, or similar research funding organization.
"Software" means the SAL and ICS software as made available by SRI from the website "http://sal.csl.sri.com/" or "http://ics.csl.sri.com/".
All other uses, including, without limitation, publishing, distributing, or transferring copies of the Software, or modifications thereto, and Documentation to any third party, either in part, in whole, or as a component of larger applications and making interfaces to the Software available on a public network are strictly prohibited. These examples are by way of illustration, not limitation; except as expressly set forth above (under "Licensee may"), no other license rights are implied or otherwise granted under this License Agreement.
Licensee agrees to maintain intact all copyright and other proprietary notices on the Software and Documentation. Licensee further agrees not to subvert any security mechanisms contained within the Software.
If Licensee provides any derivative works of the Software or Documentation (including without limitation bug fixes and enhancements) to SRI, Licensee grants SRI a worldwide, royalty-free, non-exclusive, non-revocable license to modify, copy, use and distribute said derivative works.
Licensee represents and warrants that the Software and Documentation will be used only to conduct basic and applied research, and that the results of the research will be made generally available, and published should they merit it.
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to SRI International, 333 Ravenswood Avenue, Menlo Park, CA 94025.
This License Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to the conflicts of law principles thereof, and shall not be governed by the United Nations convention on contracts for the international sale of goods. Licensee agrees that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in San Mateo County, California, and Licensee hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action.
